WHATSPRITE END USER LICENCE AGREEMENT

Version 1.0 (13 October 2026)

Please read this Agreement carefully. Click "I Agree" to accept it and continue the installation.

1. AGREEMENT AND ACCEPTANCE

1.1 This End User Licence Agreement (the "Agreement") is between WesDx Limited, a company registered in England and Wales with company number 12524165, whose registered office is at 71-75 Shelton Street, London WC2H 9JQ ("we", "us") and the organisation or individual named in the Licence File (the "Customer", "you").

1.2 You accept this Agreement by clicking "I Agree" in the installer, by installing a Licence File, or by using the Software, whichever happens first. If you accept on behalf of an organisation, you confirm that you have authority to bind it.

1.3 The Software is supplied only for business and professional use. By accepting, you confirm that you are not acting as a consumer.

1.4 This is version 1.0 (13 October 2026). A later version applies only to Licence Files issued after it is published.

2. DEFINITIONS

- Documentation: the user guidance we supply with the Software.
- Engine: the whatsprite-engine program supplied with the Software.
- Licence File: a signed .wslicence file issued by us.
- Licence Period: the period stated in the Licence File.
- Grace Period: the 7 days after the Licence Period ends.
- Software: the WhatSprite application, its installer, the Documentation and any updates we supply, excluding the Engine and the Open-Source Components.
- Open-Source Components: the Engine and the third-party components listed in the notices supplied with the Software.

3. LICENCE

3.1 Grant. We grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software during the Licence Period. The licence covers use by your own employees and contractors on your behalf, for your internal business purposes.

3.2 Grace Period. During the Grace Period you may open, review and export existing Case Files, but you may not start new Acquisitions. After the Grace Period ends, the Software will not open Case Files until you install a valid Licence File.

3.3 Always available. Whatever the state of your licence, the Software will let you unlink a WhatsApp account that is still linked and change a Case File passphrase. Your Case Files and Customer Data remain yours.

3.4 Renewal. A renewal is a new Licence File. Term licences run in whole calendar days, and you get all of the last day wherever you are. A 30-day licence runs for 30 days, counting its first day. A 12-month licence ends on the same date a year later, except that one starting on 29 February ends on 28 February.

3.5 Restrictions. Except as clause 5 allows or as the law permits despite this restriction, you must not:

- copy, modify, translate or create derivative works of the Software;
- reverse engineer, decompile or disassemble the Software, except to the extent section 50B of the Copyright, Designs and Patents Act 1988 allows;
- sell, rent, lend, sublicense or otherwise make the Software or a Licence File available to anyone else;
- alter, forge or share a Licence File, or get around any licence check, including by changing or holding the computer's clock;
- remove or alter any proprietary notice; or
- use the Software to provide a service to third parties, other than acquisition and analysis services you provide to your own clients under clause 6.

3.6 Licence checks. The Software checks the Licence File against the computer's clock. Before each Acquisition it also checks it against the time reported by WhatsApp's servers. That check sends nothing to us and identifies no one to us.

3.7 Demo licences. We may issue a Licence File marked as a demo licence, free of charge, so you can evaluate the Software. We may refuse to issue one, or limit how many we issue to you, at our discretion. Under a demo licence:

- you may make Acquisitions and open and review Case Files as under any other licence;
- the Software exports from each Case File at most 20 messages or call records and 20 contacts in total, counted across every export from that Case File. Exporting an item already exported does not count again;
- each export made under it is marked as a demo export. It is not a complete export of the Case File, and you must not present it as one;
- clause 4 does not apply, as no fee is payable; and
- clause 10.1 does not apply, and the demo licence's period does not count as your first Licence Period.

Installing a paid Licence File removes the export limit for every Case File, including those created under a demo licence. In every other respect this Agreement applies to a demo licence, including clauses 6 and 8.

4. FEES, REFUNDS AND DELIVERY

4.1 You pay the fees shown at purchase, through our payment provider (currently Stripe), in advance. Fees exclude VAT and other taxes, which you also pay.

4.2 We deliver the Software by download and the Licence File by email. Delivery is complete when the Licence File is sent.

4.3 You may ask for a refund within 7 days of purchase, provided no Acquisition has been started under that Licence File. Otherwise fees are not refundable, except as clause 11 or the law requires.

5. OPEN-SOURCE COMPONENTS

5.1 The Engine is not licensed under this Agreement. The Engine is a separate program, licensed to you under the GNU General Public License version 3 ("GPL-3.0"), a copy of which is supplied with the Software. Your rights in the Engine are those GPL-3.0 grants.

5.2 Nothing here limits your GPL rights. Nothing in this Agreement, including clauses 3.5, 9 and 10, restricts your rights under GPL-3.0 to run, study, copy, modify or redistribute the Engine. Where this Agreement and GPL-3.0 conflict as to the Engine, GPL-3.0 prevails.

5.3 Source code. The Engine's complete corresponding source code is available at https://whatsprite.wesdx.com/source. For at least three years from the date you received the Software, we will also supply it on request to whatsprite@wesdx.com, for no more than our cost of physically supplying it.

5.4 Other components. Other Open-Source Components are licensed under their own terms, listed in the third-party notices supplied with the Software. Those terms prevail over this Agreement for those components.

5.5 Separate programs. The Software and the Engine communicate as separate programs and neither contains the other. A licence fee you pay is for the Software and for the services we supply with it, not for the right to use the Engine.

5.6 Modified Engines. You may run a modified Engine. We provide no support for the Software when it is used with one, and clauses 10 and 11 apply to any resulting loss.

6. LAWFUL USE

6.1 Authority. Before each Acquisition you must hold, and you warrant that you hold, a lawful basis for it: the informed consent of the account holder, or a warrant, court order, statutory power or other lawful authority. You are solely responsible for deciding whether you have that basis and for keeping a record of it.

6.2 Physical access. Each Acquisition requires the account holder's phone to scan a QR code. You must not obtain that access by deception, coercion or unauthorised physical access.

6.3 Third parties. Acquired chats contain the personal data and communications of people other than the account holder. You are responsible for handling that data lawfully, including its minimisation, retention, disclosure and deletion.

6.4 Prohibited uses. You must not use the Software for covert surveillance without lawful authority, stalking, harassment, unlawful interception, or any purpose that breaks the law where you or the account holder are.

6.5 Unlinking. You must unlink the companion device when the Acquisition is finished, unless your lawful authority covers keeping it linked. The Software discards new messages sent or received after linking and does not capture them.

7. WHATSAPP AND EVIDENTIAL USE

7.1 No affiliation. WhatSprite is not affiliated with, endorsed by or sponsored by WhatsApp LLC or Meta Platforms, Inc. "WhatsApp" is a trademark of its owner and is used only to describe compatibility.

7.2 Third-party service. The Software works by linking to WhatsApp as a companion device and depends on services we do not control. WhatsApp may change its protocol, limit companion devices, or restrict, log out or ban an account at any time. Using the Software may be contrary to WhatsApp's terms of service. You accept these risks and are responsible for telling the account holder about them. Loss of function caused by a change WhatsApp makes is not a defect, although we will make reasonable efforts to restore it.

7.3 Completeness. The Software retrieves what WhatsApp and the phone make available. How much is available depends on things outside our control, including the phone's history settings, what the phone still holds, whether media is still on WhatsApp's servers, and whether the phone can re-upload it. We do not warrant that any Acquisition is complete. The acquisition log in each Case File records what was requested, received and not received.

7.4 Integrity. The Software checks each media file against the SHA-256 hash in its message, and each export checks it again. We do not otherwise warrant the accuracy of data as WhatsApp or the phone supplied it.

7.5 Evidence. You are responsible for validating the Software for your purposes, following the forensic standards and procedures that apply to you, and presenting and explaining any evidence you produce. We do not warrant that any output will be admissible. Validation material, expert statements and witness attendance are available only by separate written agreement.

8. DATA PROTECTION AND SECURITY

8.1 Local processing. The Software runs entirely on your computers. It communicates only with WhatsApp's servers. It does not send Customer Data, usage data, crash reports or telemetry to us, and it does not contact us to check your licence.

8.2 Your role. For the purposes of the UK GDPR, the EU GDPR and similar laws, you are the controller of Customer Data. We do not process Customer Data on your behalf and are not your processor. If you send us Customer Data, for example in a support request, you must first make sure you are allowed to, and we will use it only to deal with that request.

8.3 Our data about you. We process the details in your Licence File, and your payment and contact details, to supply and support the Software, as described in our privacy notice at https://whatsprite.wesdx.com/privacy.

8.4 Case File security. Case Files are encrypted under a passphrase you choose. We do not hold the passphrase or any other means of recovering it, and we cannot decrypt a Case File. If you lose the passphrase, the Case File cannot be opened. You are responsible for:

- choosing strong passphrases and storing them securely;
- backing up the phone, where the account holder agrees, before each Acquisition, and backing up Case Files;
- the security of the computers and storage on which you use the Software; and
- the security of exports, which are written unencrypted to the folder you choose.

8.5 Session keys. While an account is linked, its device keys are held in an encrypted .wssession file beside the Case File, which the Software destroys when it unlinks. You must not copy that file or use it in any other way.

9. INTELLECTUAL PROPERTY

9.1 We and our licensors own all intellectual property rights in the Software. You receive only the rights this Agreement expressly grants. This clause does not apply to the Engine or other Open-Source Components (clause 5).

9.2 You own Customer Data, as between you and us.

9.3 We may use any suggestions or feedback you give us about the Software without restriction or payment.

10. WARRANTIES

10.1 For 90 days from the start of your first Licence Period, the Software will perform substantially as the Documentation describes when used as it directs. If it does not, your only remedy is that we will, at our option, correct the defect or refund the fees for the current Licence Period. This warranty does not cover the matters in clause 7.

10.2 Apart from clause 10.1, and to the extent the law allows, the Software is supplied "as is". All other warranties, conditions and terms, whether express or implied by statute, common law or otherwise, are excluded. This includes those as to satisfactory quality, fitness for purpose and non-infringement.

10.3 We do not warrant that the Software will be error-free or run without interruption, or that it will work with every phone, WhatsApp version or account.

11. LIABILITY

11.1 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

11.2 Subject to clause 11.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:

- loss of profits, revenue, business, contracts or goodwill, or business interruption or downtime;
- loss or corruption of data, including Customer Data and Case Files, or any data not acquired;
- damage to, or failure or malfunction of, any phone, computer, storage device, network or other equipment or software;
- consequences for a WhatsApp account or the phone it runs on, including the account being restricted, logged out or banned, other linked devices being logged out, or chats, media or settings on the phone being changed or lost;
- loss arising from evidence being excluded, challenged or given little weight; or
- indirect or consequential loss.

11.3 Subject to clause 11.1, our total liability arising out of or in connection with this Agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

12. INDEMNITY

12.1 You will indemnify us against all claims, losses, damages, fines, costs and expenses (including reasonable legal fees) arising from:

- an Acquisition made without the lawful basis clause 6.1 requires;
- your processing of Customer Data; or
- your breach of clauses 3.5 or 6.

12.2 We will tell you promptly of any such claim, let you control its defence, and give you reasonable help at your cost.

13. TERMINATION

13.1 This Agreement lasts until the end of the Grace Period of your last Licence File, unless it ends earlier under this clause.

13.2 We may end this Agreement by written notice if you materially breach it and fail to remedy the breach within 14 days of notice. If the breach is of clause 6, or cannot be remedied, we may end it immediately.

13.3 When this Agreement ends, your licence ends and you must stop using and uninstall the Software. You keep your Case Files and exports, and on request we will issue a time-limited licence so you can open and export them. Clauses 2, 5, 6, 8.2, 9, 11, 12, 14 and 15 continue to apply.

14. EXPORT CONTROL AND SANCTIONS

The Software includes encryption. You must comply with all export control and sanctions laws that apply to it, including those of the UK, the EU and the US. You must not export it to, or use it in or for, any country, person or end use those laws prohibit.

15. GENERAL

15.1 Entire agreement. This Agreement, the Licence File and the open-source licences in clause 5 are the whole agreement between us about the Software. They replace anything earlier. Neither of us relies on any statement not set out in them.

15.2 Assignment. You may not assign or transfer this Agreement without our written consent. We may assign it to a successor to our business.

15.3 Force majeure. Neither of us is liable for a delay or failure caused by events beyond our reasonable control, including changes to or outages of WhatsApp's services.

15.4 Notices. Notices to us go to whatsprite@wesdx.com. Notices to you go to the email address in your Licence File.

15.5 Severance. If a court finds any part of this Agreement invalid, the rest continues in force.

15.6 Waiver. A failure or delay in enforcing a right is not a waiver of it.

15.7 Third parties. No one else has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce this Agreement.

15.8 Law and jurisdiction. This Agreement, and any dispute arising from it (including non-contractual disputes), is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
